Launch of a capital increase by Agripower France

Agripower France SA is launching a capital increase with shareholders' preferential subscription rights, targeting an amount of nearly €8 million. This operation involves the issuance of 8,436,406 new shares at a price of €0.948 per share, reflecting a discount of 7.06% compared to the recent closing price. With a subscription ratio set at 47 new shares for every 20 existing shares, the subscription period runs from September 22 to October 2, 2025.

The funds raised are primarily intended for investment in methanization units and to cover working capital needs. Vatel Capital and Johes SAS are providing significant subscription commitments, while Guillaume Labarrière is appointed Chairman of the Board of Directors, succeeding François Gerber, to lead the company's strategic future.
