Proposed Public Delisting Offer for Bourrelier Group

M14, a company controlled by the family of Jean-Claude Bourrelier, has announced a proposed tender offer for the remaining shares of Bourrelier Group that it does not currently own. Already holding 99.56% of the capital, the offer will target the remaining 0.21% of shares.

The offer proposes €67.60 per share, with a possible premium depending on the outcome of ongoing arbitration proceedings. This price includes a 38% premium over the volume-weighted average price of recent months.

The Board of Directors of Bourrelier Group has appointed JPA as its independent financial expert. If approved by the AMF (French Financial Markets Authority), this procedure could lead to a mandatory delisting, as the legal requirements have already been met.
