Capgemini obtains all approvals to acquire WNS
On September 17, 2025, Capgemini announced that it had obtained the necessary regulatory and antitrust approvals to acquire WNS. This acquisition, valued at US$3.3 billion (excluding net financial debt), aims to create a global leader in Intelligent Operations powered by agentic AI. The Scheme of Arrangement still requires approval by the Royal Court of Jersey, with a hearing scheduled for October 9, 2025. The transaction is expected to close by the end of October 2025.
The partnership between Capgemini and WNS, formalized on July 7, 2025, could generate increased growth and value for Capgemini shareholders. However, risks remain regarding the achievement of synergies and compliance with the transaction conditions.
