The Vanguard Group Discloses Stake in Direct Line Insurance Group

The Vanguard Group, Inc. has disclosed its interest in Direct Line Insurance Group PLC exceeding 1% as per Rule 8.3 of the Takeover Code. As of March 24, 2025, The Vanguard Group controls 70,341,912 ordinary shares, accounting for 5.36% of Direct Line's relevant securities.

In addition to Direct Line, Vanguard has also disclosed its interests with respect to Aviva plc. The disclosed dealings include the purchase of 56,442 shares and the sale of 137,923 shares in Direct Line, all at 2.83 GBP per unit. There are no cash-settled derivative transactions or stock-settled derivative transactions reported.

No indemnity agreements or arrangements related to these securities have been noted. Similarly, there are no agreements concerning options or derivatives voting rights. A Supplemental Form 8 indicating open positions is not attached.
