An independent expert for the repurchase of shares in Groupe TERA

On October 17, 2025, Groupe TERA announced the appointment of Oderis Consulting, represented by Mathieu Bullion, as its independent expert. The objective is to prepare a report on the company's public share buyback offer (OPRA), for €13 million at €6.50 per share. This initiative follows the planned sale of its laboratory chemical analysis business.

Faced with the impossibility of forming an ad hoc committee, the expert was selected by the board of directors. The Autorité des marchés financiers (AMF) expressed no opposition to the choice of October 13, 2025. The report will include a fairness opinion, and the board of directors will issue a reasoned opinion on the project after its communication.

The company's half-year results will be published on October 30, 2025.
