HGears AG Annual Meeting: New Leadership and Future Outlook

hGears AG Group held its Annual General Meeting on June 11, 2025, approving all agenda items. Marco Freiherr von Maltzan emerged as the new Chairman of the Supervisory Board, succeeding Professor Volker Stauch. This change comes with the company's aim to tackle ongoing challenges in the economic and geopolitical landscape.

The meeting saw participation from 71.71% of the share capital, a significant endorsement of the board's strategies. All proposed resolutions, including the remuneration report, were largely adopted, reflecting strong shareholder confidence.

The company faced a challenging financial year due to issues in the automotive sector and e-bike market destocking. However, hGears remains optimistic about medium to long-term growth, particularly in their e-Tools division. Despite cautious forecasts, projected sales for 2025 stand at EUR 80-90 million, with adjusted EBITDA and free cash flow expected to be negative.
