ONE EXPERIENCE: Capital Increase with DPS

ONE EXPERIENCE, a European leader in hybrid hospitality, is launching a €500,000 capital increase, extendable to €575,000, to strengthen its real estate investments and its Bitcoin Treasury strategy. The transaction will be carried out through the issuance of shares with warrants, and will maintain preferential subscription rights.

The subscription price is set at €1.30 per share, representing a premium of 122.22% over the closing price before the issuance. The subscription period runs from February 26 to March 10, 2026. CPG has committed to subscribing to 75% of the shares. The funds raised will support ONE EXPERIENCE's hybrid hospitality model and its positioning in the Bitcoin market.

Shareholders holding 30 subscription rights (DPS) can subscribe for one new share, supporting the financial strategy and sustainable value creation. The listing of the new shares is scheduled for March 16, 2026, on Euronext Growth Paris.
