Kingsmen Resources Unveils C$10 Million Private Placement Deal

Kingsmen Resources Ltd. has announced a private placement with Red Cloud Securities Inc. as the sole underwriter. The deal involves the purchase of 4,444,445 units at C$2.25 each, totaling gross proceeds of C$10 million. Each unit includes one common share and one-half of a common share purchase warrant, exercisable for 36 months at C$3 per share.

The collaboration allows Red Cloud an option to buy an additional 888,889 units, potentially raising C$2 million more. The proceeds are earmarked for advancing Las Coloradas and Almoloya projects in Mexico, as well as corporate purposes.

The offering is expected to close by February 11, 2026, pending necessary approvals. This initiative aligns with Kingsmen’s focus on two promising precious-metal districts in the historic Parral region.
