Neoen Announces Adjustment for 2027 OCEANEs Conversion Ratio
Neoen SA has announced a temporary adjustment to the conversion ratio for its 2027 green bonds (OCEANE Verte), linked to a mandatory tender offer by Brookfield Renewable Holdings SAS. The conversion ratio will increase from 2,118.0805 to 2,500.924 Neoen shares per bond, effective during a specified adjustment period.
The adjustment period runs from February 13, 2025, to April 1, 2025. Bondholders need to exercise their conversion right through their account holders, with the request being deemed made on satisfaction of certain conditions. The conversion process must be completed within three business days after the exercise date.
The total outstanding nominal value of these Bonds is €300,000,000. This adjustment is part of Neoen's measures following the admissible mandatory tender offer registered by AMF on February 11, 2025.
