NEXTDC Limited Announces Board Renewal Ahead of AGM
NEXTDC Limited (ASX: NXT) has announced significant board changes before its Annual General Meeting (AGM) scheduled for November 20, 2026. Chairman Douglas Flynn intends to retire once a successor is appointed. Spencer Stuart is tasked with identifying both a new Chairman and an independent Non-Executive Director, targeting candidates with expertise in data centers, energy, or infrastructure development.
Amid these transitions, the company withdrew two resolutions: one aimed at increasing Non-Executive Directors’ remuneration and another concerning CEO Craig Scroggie's incentives. Scroggie has agreed to forgo short and long-term incentives for FY27.
The AGM will proceed as a hybrid meeting. Shareholders are advised to review the Notice of Meeting alongside recent company announcements. Voting adjustments are possible until November 18, 2026.
