Northern Superior Resources Shareholders Approve Arrangement Resolution
Toronto-based Northern Superior Resources Inc. has announced that its shareholders have approved a statutory plan of arrangement. The plan involves the acquisition of all the company's issued and outstanding shares by IAMGOLD Corporation. Shareholders will receive 0.0991 of an IAMGOLD common share plus $0.19 in cash for each company share held.
During the special meeting, 99.03% of the votes cast favored the resolution, surpassing the required two-thirds majority. Additionally, 98.94% of the votes, excluding certain shares, supported the resolution. A court review is pending, which is scheduled for December 15, 2025. If approved, the transaction may close shortly thereafter.
The arrangement includes the distribution of ONGold Resources Ltd. shares to Northern Superior shareholders. This move aligns with the terms agreed upon with IAMGOLD in October 2025.
