Osmosun Enters Business Combination Agreement with Unibios
On May 23, 2025, Osmosun announced a business combination deal with Unibios Holdings S.A., a company listed on the Athens Stock Exchange. The agreement involves Unibios acquiring a majority stake in Osmosun through a €1.6 million cash contribution and a 30% stake in Watera International. An additional €0.4 million cash will be contributed by long-standing stakeholders.
The agreement ensures Osmosun, which faced a cash horizon until July 2025, can continue operations. Watera International, a key player in water treatment, will benefit by enhancing the cost-effectiveness and market reach of Osmosun's solar desalination products.
The transaction aims to consolidate Watera International and Osmosun's operations, positioning Osmosun as the parent company of Unibios's Water Treatment division. Following completion, Unibios will hold 65% of Osmosun's share capital.
Approval is required at the general meeting on June 30, 2025, and Unibios is prepared to offer a convertible bond loan should previous conditions remain unmet by then.
