ShelfieTech Acquires Majority Stake in Aspect Information Systems

ShelfieTech Ltd. has announced a definitive agreement to acquire a majority interest in Aspect Information Systems Ltd., an Israeli company specializing in data analytics. The transaction, aligned with Shelfie's growth strategy, involves acquiring up to 70% of Aspect's equity. Initially, ShelfieTech will make a cash payment of $1,327,140 for a 50% stake, alongside a $500,000 investment to secure an additional 10% ownership. Another $500,000 investment is planned to elevate Shelfie's stake to 70% before June 30, 2026.

Aspect Information Systems, known for its AI-driven data solutions for the retail sector, will bolster Shelfie's product offerings and intellectual property portfolio. The agreement includes options for further stock acquisitions by Shelfie and its counterpart, with terms extending until 2030. The transaction awaits completion of specific conditions, targeting closure by early June 2026. This acquisition is categorized as a "significant acquisition" under Canadian regulations.
