SMX Initiates Reverse Stock Split

SMX (Security Matters), listed on NASDAQ as SMX and SMXWW, will commence trading post-reverse stock split on November 18, 2025, maintaining its SMX ticker. The new CUSIP for ordinary shares is G8267K307, and the ISIN is IE000UPDVNX9.

The reverse stock split, in an 8:1 ratio, was decided by the Board of Directors without needing supplementary shareholder approval, in line with amendments made to the company’s constitution on May 2, 2025. This consolidation reduces outstanding shares from 8,404,581 to 1,050,572.

Conversion adjustments will apply to options, warrants, and convertible securities, excluding fractional shares. Continental Stock Transfer & Trust Company will manage the share exchange process, commencing November 19, 2025, for record-holding shareholders.
