SMX Announces $5.5 Million PIPE Offering
SMX (Security Matters) PLC, a leader in "physical to digital" solutions, announced a $5.5 million private placement with institutional investors. The transaction involves convertible promissory notes, with the initial closing expected on May 8, 2025. The funds will be used for working capital, corporate purposes, and to reduce certain liabilities.
RBW Capital Partners LLC served as the placement agent, with legal counsel from Ruskin Moscou Faltischek PC and Sichenzia Ross Ference Carmel LLP. The notes and shares have not been registered under U.S. securities laws and are limited to accredited investors. Further transaction details will be filed in the Company's Form 6-K.
