SoftwareOne's Final Call for Crayon Share Tender

SoftwareOne Holding AG has announced that the final offer period for acquiring all outstanding shares of Crayon ends today, May 6, 2025, at 16:30 CEST. This recommended voluntary share and cash offer was first announced on March 14, 2025. The proposed acquisition price is NOK 69 per Crayon share plus 0.8233 newly issued shares in SoftwareOne.

SoftwareOne will not extend the offer period further. The company has waived the minimum acceptance condition previously set for the offer. All participating parties must comply with the terms outlined in the prospectus. Subject to regulatory approvals, the transaction completion is anticipated in June 2025.

Jefferies and Pareto Securities are advising SoftwareOne, while ABG Sundal Collier and Houlihan Lokey advise Crayon. The tender process spans from March 14 to May 6, with regulatory scrutiny ongoing.
