Guillemot Brothers Limited Extends Ubisoft Shares Purchase Agreement

On May 15, 2025, Guillemot Brothers Limited announced the extension of an agreement with a bank for acquiring shares of Ubisoft Entertainment SA. Originally established on September 1, 2017, the agreement involves the purchase of 2,000,016 Ubisoft shares.

The extension includes financing by the bank for these shares and extends related hedging agreements until March 19, 2026. A call option allows Guillemot Brothers Limited to sell shares to the bank. Conversely, a put option lets the bank purchase shares from Guillemot Brothers Limited. These options, applicable under specified conditions, can be settled in cash or shares, as decided by Guillemot Brothers Limited.

Shares under this agreement are pledged to the bank, which can manage them with conditions for restoration to Guillemot Brothers Limited as per the share pledge agreement.
