2CRSi informs the market about the governance of AETHER Infrastructures and the progress of the AETHER project in which 2CRSi takes part as a member of the consortium

Strasbourg, France – August 5, 2026 – 2CRSi (ISIN: FR0013341781), a designer and manufacturer of high-performance and energy-efficient servers, provides the following clarification further to its discussions with the French financial markets’ regulator (Autorité des marchés financiers), and in addition to its press releases of 8 and 16 July 2026.

Regarding the governance of AETHER Infrastructures, the project company for the AETHER project

AETHER Infrastructures is a “société par actions simplifiée”¹ incorporated in 2026, chaired by “Holding Alain Wilmouth” (HAW), which is currently its sole shareholder.

For the 2025/26 financial year, 2CRSi invoiced AETHER Infrastructures for services in an amount of €629,760 excluding tax.

Regarding the progress of the AETHER project

The firm and binding offer relating to AETHER Infrastructures and covering the “FR-SXB1” site (“share deal”) is pending approval by the seller’s board of directors. This offer benefits from an exclusivity granted by the seller.

The firm and binding offer covering the “FR-SXB2” site (“asset deal”) obtained the seller’s final and formal agreement on 31 July 2026. That agreement provides for partial occupancy as from 1 October 2026, enabling construction work and the deployment of computing capacity to begin sooner. The indicative timetable sets a common objective of signing the final deed of sale by 31 December 2026 at the latest.

Located in Strasbourg, this industrial site has 25 MW of available power with a redundant connection. This capacity will increase in line with the additional availability granted by the electricity grid operator.

High performance servers

Within a set of recently built premises, one or more “AI computing factories” will be operated by the AETHER project. The site will also host the manufacturing of AI Factory modules (2CRSi Cloud Solutions) as well as 2CRSi’s metalworking workshop.

On 30 July 2026, the European Union launched a call for tenders for AI Gigafactories, intended to strengthen Europe’s computing capacity and to mobilise more than €30 billion investment.

As previously announced, the AETHER consortium, of which 2CRSi is a member, intends to respond to this call for tenders on the basis of the sites currently being acquired by the company carrying the project, AETHER Infrastructures, and above all through the work and the complementary strengths of the members that make up this consortium.
