NioCorp Places 100% of Its Planned Critical Minerals Production Under Commercial Sales Agreements
CENTENNIAL, CO / ACCESS Newswire / October 13, 2026 / NioCorp Developments Ltd. ("NioCorp," "our," or the "Company") (NASDAQ:NB), a leading U.S. developer of critical minerals, has reached a definitive agreement (the "Agreement") with Traxys North America LLC ("Traxys"), a leading global trader and merchant in the metals and natural resources sectors, resulting in 100% of the Company's planned production from its Elk Creek Critical Minerals Project (the "Elk Creek Project") now being supported by commercial agreements during the first 15 years of operations.
Under the binding Agreement, Traxys will purchase, on a take-or-pay basis, 50% of NioCorp's planned ferroniobium production from its Elk Creek Project over the first 15 years of production. The Agreement supersedes and replaces the prior ferroniobium and scandium offtake arrangements between NioCorp and Traxys. NioCorp's existing offtake agreement with ThyssenKrupp Metallurgical Products GmbH ("ThyssenKrupp") covering the other 50% of NioCorp's planned ferroniobium production from its Elk Creek Project over the first 10 years of production remains unchanged.
Traxys will also have the exclusive right, but not the obligation, to purchase all of NioCorp's planned products beyond ferroniobium, including scandium, titanium and rare earth products, and to serve as NioCorp's exclusive global marketing and sales partner, leveraging its established global customer network and the central role it now plays in the Trump Administration's Project Vault initiative, which is designed to facilitate sales of critical minerals to large manufacturers.
"We've always believed the right commercial partner is just as important as the products themselves," said Mark A. Smith, CEO and Executive Chairman of NioCorp. "Members of our management team have worked with the Traxys team for several decades, and they've built an outstanding reputation in these markets. They understand these products, they understand the customers, and we've developed a high level of confidence in their team over many years. Expanding that relationship was a logical next step for us."
"Together with our existing ferroniobium offtake agreement, every product we plan to produce at Elk Creek is now supported by long-term commercial agreements for 15 years of operations with highly reputable commercial partners," Mr. Smith said. "That puts us in an even stronger position as we advance our remaining financing efforts, including addressing one of the key due diligence items in EXIM's review of our proposed financing package. Just as importantly, it shows there are experienced market participants willing to commit to the products we expect to bring to market."
Mark Kristoff, CEO of Traxys, said: "If recent and ongoing geopolitical events have shown us anything, it's that manufacturers can no longer assume critical mineral supply will always be available when and where it's needed. Customers today are looking for reliable, long-term supply from trusted jurisdictions, and that trend is only accelerating. We've worked with Mark and his team for many years, and we believe the Elk Creek Project is exceptionally well positioned to help meet that demand."
Mr. Kristoff continued, "As a key participant in President Trump's Project Vault initiative, Traxys is focused on helping build stronger domestic critical mineral supply chains by connecting emerging producers with manufacturers seeking dependable long-term supply. That's exactly why we're expanding our relationship with NioCorp through this agreement, and we look forward to bringing Elk Creek's products to customers across North America and allied markets in the future."
The Agreement is binding on the parties. Deliveries under the Agreement remain subject to completion of project financing, construction of the Elk Creek Project, commencement of commercial production, and the finalization of customary ancillary commercial terms between the parties.
Separately from the Agreement, NioCorp and Traxys continue to discuss a potential strategic equity investment by Traxys of up to $30 million in NioCorp. Any such investment is not part of the Agreement and would remain subject to further negotiation, due diligence, and the execution of definitive documentation. There can be no assurance that an investment will be agreed to or completed.

ABOUT NIOCORP
NioCorp is developing the Elk Creek Project that is expected to produce niobium, scandium, titanium and several rare earth products, including neodymium-praseodymium oxide, dysprosium oxide, terbium oxide, samarium-europium-gadolinium ("SEG") carbonate, and heavy rare earth carbonate. Niobium is used to produce specialty alloys as well as High Strength, Low Alloy steel, which is a lighter, stronger steel used in automotive, structural, and pipeline applications. Scandium is a specialty metal that can be combined with Aluminum to make alloys with increased strength and improved corrosion resistance. Scandium is also a critical component of advanced solid oxide fuel cells. Titanium is used in various lightweight alloys and is a key component of pigments used in paper, paint and plastics and is also used for aerospace applications, armor, and medical implants. Magnetic rare earths, such as neodymium, praseodymium, terbium, and dysprosium are critical to the making of neodymium-iron-boron magnets, which are used across a wide variety of defense and civilian applications.
